These Terms of Service (“Terms”) govern your access to and use of the automated outreach platform and related services provided by Pulse AI Business Solutions LLC (“Pulse,” “we,” “us,” or “our”). By creating an account or using our services, you (“you,” “your,” or “User”) agree to be bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

• You must be at least 18 years old and legally able to enter into these Terms.
• You may only use our services in compliance with applicable laws, regulations, and third-party platform policies (e.g., Instagram, LinkedIn, email providers).

2. Account Registration & Security

• You are responsible for providing accurate registration information.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must promptly notify us of any unauthorized use of your account.

3. License & Permitted Use

• We grant you a limited, non-exclusive, non-transferable license to use our services.
• You may not copy, reverse engineer, resell, or misuse the platform.
• You may not use the platform in any way that interferes with its operation or other users’ use.

4. Automated & AI-Generated Messaging

Our services may generate or send communications on your behalf using automated systems and artificial intelligence. You acknowledge and agree that:

• You are the sender of all communications generated or delivered through the platform, regardless of whether the content was generated by AI.
• Content Accuracy: AI-generated content may be inaccurate, offensive, or non-compliant. You are solely responsible for reviewing and approving all communications before or after sending, even when automated sending is enabled.
• Consent Requirements: You must obtain all legally required consents from recipients before sending automated messages. You must also maintain an opt-out process and comply with recipient requests to stop communications.
• Compliance: You are solely responsible for ensuring that all AI-generated and automated communications comply with applicable laws, including but not limited to the CAN-SPAM Act, TCPA, GDPR, CASL, and any applicable state laws.
• Legal Compliance Disclaimer: Pulse AI Business Solutions LLC provides tools that enable automated outreach and AI-generated messaging. While the platform may technically allow outreach through channels such as Instagram, LinkedIn, or other third-party platforms, it is solely your responsibility to determine whether such outreach is legal in your jurisdiction and compliant with all applicable laws and third-party terms. You agree that Pulse AI Business Solutions LLC does not provide legal advice and is not responsible for your compliance with federal, state, or international laws, or the rules of any platform you use.
• Third-Party Risks: We are not responsible for any suspension, restriction, or termination of your accounts by third-party platforms (e.g., Instagram, LinkedIn, Gmail) as a result of automated activity.
• Limitations of AI: You acknowledge that artificial intelligence may produce errors, inaccuracies, or inappropriate content and agree not to rely on AI outputs for legal, medical, financial, or other sensitive communications.

5. User Responsibilities

• You are solely responsible for the content, legality, and accuracy of all messages sent through the platform.
• You must comply with all laws, regulations, and third-party platform terms.
• You must not use the service for harassment, fraud, spam, or misleading communications.

6. Prohibited Use

• Send spam, abusive, misleading, or harassing communications.
• Engage in illegal or fraudulent activity.
• Attempt to bypass rate limits, security, or platform restrictions.

We reserve the right to suspend or terminate your account immediately if we suspect misuse.

7. Payment & Subscriptions

• Fees are billed according to the plan you select.
• Payments are non-refundable except as required by law.
• We may change our pricing with reasonable notice.

8. Intellectual Property

• All rights, title, and interest in the platform remain the property of Pulse AI Business Solutions LLC.
• Users retain ownership of their content and grant Pulse a license to process and store it as necessary to provide the service.

9. Third-Party Services & Integrations

Our platform may connect to third-party APIs. We are not responsible for any restrictions, suspensions, or bans imposed by third-party platforms.

10. Disclaimers

• Our services are provided “AS IS” and “AS AVAILABLE.”
• We make no guarantees about uptime, results, or specific outcomes of using the platform.
• We do not monitor or moderate individual messages and disclaim responsibility for the content of communications sent using the platform.
• We are not responsible for lost business opportunities or damages resulting from use.

11. Limitation of Liability

To the fullest extent permitted by law:

• Our liability is limited to the greater of (a) the amount paid to us in the last 12 months, or (b) $100.
• We are not liable for indirect, incidental, or consequential damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Pulse AI Business Solutions LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

• Your use of the platform.
• Your violation of laws or third-party rights.
• The content of your AI-generated or automated messages.

13. Termination

• You may stop using our services at any time.
• We may suspend or terminate your account at any time for violation of these Terms or misuse.

14. Governing Law & Dispute Resolution

• These Terms are governed by and construed under the laws of the State of Arizona, without regard to its conflict of law principles.
• Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration in Arizona, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except where prohibited.
• Users waive the right to class actions or jury trials. Nothing in this section prevents either party from bringing a claim in small claims court where permitted.

15. Amendments

We may modify these Terms at any time. We will provide notice by posting updated Terms on our website or via email. Continued use after changes constitutes acceptance.

16. Miscellaneous

• These Terms are the entire agreement between you and Pulse AI Business Solutions LLC.
• If any provision is found unenforceable, the remaining provisions remain in full effect.
• You may not assign these Terms without our consent.
